Removing a director is not a form you submit to CAC first. It is a decision the company makes internally, and CAC only records the outcome once it is done.
Founders sometimes call CAC before they have even held the meeting. That is the wrong order. Settle the decision at home, then bring the paperwork to CAC.
Removal is decided inside the company first
The company, not CAC, decides whether a director is removed. This is normally done by a resolution of the company, not an outside filing.
The exact steps depend on CAMA and on your own company's articles. This article cannot list every step. Ask a company secretary or a lawyer to run the meeting correctly.
Get this part right first. A flawed vote can undo the whole removal later, long after CAC has recorded it.
Notice periods, quorum and who gets to vote are all set by the same rules. Skipping one of them is a common reason a removal later gets challenged.
CAC's role starts only after the decision
CAC does not decide whether a removal was done properly. Its job starts once the company reports the change.
CAC records what it is told. It does not check the vote behind a removal the way it checks a name or an ID document.
Think of CAC as the last step, not the first one. The real decision happens inside the company, before any form is filled in.
The filing deadline once removal takes effect
The company must notify CAC within 14 days of the change, counted from the date the removal takes effect. This is the same deadline that applies to any other change of directors.
CAC change of directors: the deadline covers how that filing works, including the documents the remaining board typically pulls together for it.
Why contested removals take longer
A removal that the director disputes rarely moves fast. The company may want the disagreement settled, or at least written down, before it files anything.
On top of that, Up-to-date annual returns and PSC information before CAC will process any change of directors. A company fighting a contested removal does not need a second delay on top of the first.
Sort out the dispute first. Then treat the CAC filing as a routine step, not part of the argument.
When to get legal advice
Get a lawyer early if the removal is contested. Get one early too if the director holds shares, or if your company's articles set their own procedure.
A clean paper trail helps most. Keep the notice of the meeting, the minutes, and the resolution itself. That record makes the CAC filing quick, instead of a scramble to reconstruct what happened months later.
Once the removal is settled and filed, documents to change a company director sets out what the filing itself needs. The CAC registration hub links the rest of this series.
